Terms of service

Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the http://www.standbymate.com website (“Service” “StandByMate”) operated by StandByMate OÜ ("us", "we", or "our"). Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service.

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.

You may not, without Supplier’s prior written consent, access the Services if you are a competitor of StandByMate to monitor the availability, performance or functionality of the Service or for other benchmarking or competitive purposes.

1. Overview and scope

1.1. StandByMate is an online platform for hiring maritime crew members. Registered recruiters can search for available registered seafarers based on location and other criteria. Registered recruiters can send job offers to selected seafarers and confirm seafarers who have accepted the job offer, whereas the official hiring processes are not carried out in the Service.

1.2. Registered recruiters send job offers and accept seafarers independently from us.

  • We do not make job offers to seafarers ourselves in the Service.
  • We do not participate in the hiring process in any way other than providing the platform for sending job offers to seafarers and accepting them.
  • We do not represent any specific recruiter, shipping company or other crewing institution.
  • StandByMate shall not be responsible or liable, directly or indirectly, for anything a registered recruiter does on our website or outside the Service, including, but not limited to, making job offers, accepting seafarers for a job, contacting seafarers, signing contracts and creating any other agreements.

1.3. Registered seafarers can create profiles and are solely responsible for the content they provide in their profile.

  • We do not create seafarer profiles.
  • We do not choose, represent or work in any other way with specific seafarers, other than providing the platform for creating seafarer profiles.
  • StandByMate shall not be responsible or liable, directly or indirectly, for anything a registered seafarer does on our website or outside the Service, including, but not limited to, creating a profile, accepting or declining job offers, contacting recruiters, signing contracts and creating any other agreements.

1.4. StandByMate offers a platform that connects seafarers with recruiters.

  • We do not participate in and are we responsible for any discussions, agreements, contracts or any other form of interaction that takes place between the users.
  • StandByMate shall not be responsible or liable, directly or indirectly, for any kind of interaction that takes place between users.

1.5. When applying to a job offer via a job application link on StandByMate, a seafarer profile is created with the data provided in the application form.

  • By applying to a job offer via a job application link on StandByMate you give your consent to create a public registered seafarer profile based on the data provided in the application form.

2. Users

2.1. Three types of users can use the Service:

  • Non-registered users ("Visitors") can access the main page and search for available seafarers based on location. Seafarers’ names and full profiles remain hidden for Visitors.
  • Registered seafarer (“Seafarer”) can create a seafarer profile. Seafarer who has created a public profile is searchable in the Service database and available for hire.
  • Seafarers can also access the main page and search for other seafarers based on location, view their names and full profiles.
  • Registered Seafarers must be at least 18 years old.
  • Seafarers may only create one profile for themselves and never for any other person.

2.2. Registered recruiter (“Recruiter”) can search for available seafarers based on location and other criteria. Recruiter can see seafarers’ names and full profiles. Recruiter can send job offers to selected seafarers and hire seafarers who have accepted the job offer.

  • Registered Recruiters must be at least 18 years old.
  • Recruiters can invite other registered Recruiter to join their company account.

2.3. Registered users are responsible for maintaining the security of their user account, and must immediately notify us in case their account is used in any unauthorized way or any other breaches of security occur.

3. Subscriptions

3.1. Some parts of the Service are billed on a subscription basis ("Subscription(s)") for Recruiters. The following Recruiter features are available on a subscription basis: creating a company account; joining a company account; viewing seafarers full profiles; sending job offers to seafarers; confirming seafarers who have accepted job offers; accessing dashboard to view and edit company members, billing details, job offers, and view recruitment and billing history.

3.2. To start a subscription, Recruiter enters their payment method in the Billing section of the Service.

3.3. A free trial period may be provided for the account upon first registration.

3.4. Registered Recruiters will be billed in advance on a monthly basis. Invoices are available in the Billing section of the Service.

3.5. We retain the right to authorize your payment method with a nominal amount, not to exceed 1€ or a similar sum in your payment method’s local currency.

3.6. Subscription can be cancelled in the Billing section of the Service. The user can use the Service until the end of the pre-paid subscription period. We do not offer any refunds.

3.7. We do not handle payments and billing directly. We use a third-party service for handling payments and billing.

4. Content

4.1. Our Service allows you to post, link, store, share and otherwise make available certain information, text, graphics, or other material ("Content"). You are solely responsible for the Content you provide.

4.2. You may not post, link, store, share and otherwise make available Content that you are not the sole exclusive owner of; and Content that infringes any laws, regulations or third parties in any way. We retain the right to remove and delete any Content that does not comply with these Terms.

4.3. We retain a world-wide, royalty-free, and non-exclusive license to reproduce, modify, adapt and publish the Content for the purpose of displaying, distributing, promoting, marketing or any other lawful use.

5. Communication

5.1. We use three means of communication to contact you:

  • Emails for sending notifications related to job offers, account settings, billing details and other necessary information. Upon signup, your email address is added to our marketing mailing list, through which we will send occasional newsletters and other materials to you.
  • Facebook messenger chat bot for sending job offers to seafarers. To receive job offers and accept or decline them in Facebook messenger, Seafarer must authorize their account with Facebook.
  • Notifications in the Service for sending product-related information.

6. Restrictions

6.1. The Service may not be used in any other way other than described in these Terms and according to the law. Prohibited activities include, but are not limited to:

  • using the Service or a part of it to breach any laws or invite others to do so;
  • copying, duplicating, distributing, modifying, adapting, hacking, creating derivative works, reverse engineering or decompiling the Service or any part of it, or attempting to extract the source code thereof, unless it is expressly allowed under applicable law;
  • using manual or automated software, devices, scripts, robots, backdoors or other means or processes to access, “scrape,” “crawl” or “spider” any pages of the Service;
  • selling, reselling, leasing, licensing, sublicensing, distributing, providing, disclosing, divulging, exploiting or otherwise granting access or making the Service available in whole or in part to any third persons, unless such third person is another registered user.

7. Termination

7.1. We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

7.2. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

8. Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 14 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
